The following terms govern the professional relationship between GRAFIKTON, hereafter referred to as the Studio, and the Client. By engaging the Studio for any branding or strategic services, the Client agrees to a structured and systematic workflow designed to ensure technical excellence and brand longevity. The Studio operates as a collective design entity, ensuring that every project benefits from a disciplined, multi-layered review process. All services, including brand architecture, visual identity construction, and strategic positioning, are executed according to the specific technical requirements outlined in the initial project proposal.
Ownership of the final authorized deliverables is transferred to the Client only upon the successful receipt of the total agreed-upon compensation. Until the final balance is cleared, all creative assets, concepts, and drafts remain the exclusive intellectual property of the Studio. The Studio retains a perpetual, non-exclusive right to showcase the finalized identity system and its developmental process across professional platforms and portfolios for the purpose of demonstrating our engineering and design methodology. Any concepts, sketches, or directions that were presented but not selected for final implementation remain the sole property of the Studio and may not be used, replicated, or modified by the Client.
The technical scope of each project is strictly defined at the commencement of the engagement to maintain a high-velocity and efficient production cycle. The Studio provides a predetermined number of refinement rounds as specified in the individual contract; these are intended for the precision-tuning of the selected visual path. Any requests for services outside of the Studio’s core competencies, such as motion graphics or web development, are explicitly excluded. If the Client requires an expansion of the project scope after work has begun, such changes will necessitate a formal technical addendum and a revised fee structure.
Financial obligations are categorized into distinct milestones to ensure project momentum and resource allocation. An initial commencement deposit is mandatory to integrate the project into our studio pipeline and is non-refundable, as it covers the preliminary research and architectural phase. Should the Client choose to terminate the project prematurely, a kill fee proportional to the work completed will be calculated and invoiced immediately. The Studio is committed to delivering assets that meet rigorous quality standards, however, the Client is solely responsible for ensuring the legal availability of the brand name and securing any necessary trademark protections.
The Client is responsible for providing all necessary information, feedback, and approvals in a timely manner to prevent disruption to the Studio’s production schedule. Delays in feedback exceeding ten business days may result in the project being moved to an "inactive" status, requiring a restart fee to re-enter the production pipeline. The Studio is not responsible for the loss of data or files once the final hand-off has been completed and confirmed by the Client. It is recommended that the Client maintains multiple backups of all delivered high-resolution assets.
Final deliverables will be provided in the specific industry-standard formats agreed upon during the scoping phase. Any requests for legacy file formats or specialized software files not mentioned in the original agreement may incur additional processing fees. The Studio guarantees the technical integrity of the files at the time of delivery but cannot be held responsible for errors caused by third-party vendors, such as printers or fabricators, or by unauthorized modifications made by the Client.
All communications regarding the project must be conducted through official Studio channels to ensure a clear and documented audit trail of all decisions and approvals. Verbal agreements or instructions provided outside of these channels are not considered binding until confirmed in writing by the Studio. This systematic approach ensures that the project maintains its structural integrity from strategy through to final visual execution. All disputes arising from this agreement shall be governed by the laws and regulations of the jurisdiction in which the Studio is based.
